Section I
Introductory provisions

Article 1
Name and type of association

  1.1 The name of the association is Golf Club Hostivař (hereinafter referred to as GCHOS or “club”).

GCHOS is an association according to law no. 83/1990 Sb. concerning civic associations.
   
Article 2
Association headquarters
  2.1 The headquarters of GCHOS is at the address: Hornoměcholupská 565, 109 00 Praha 9, Czech Republic.
   
Article 3
Goal of association‘s activities
  3.1 The main objective of GCHOS’s activities is to ensure quality conditions for golfing activities for its members.
  3.2 In order to accomplish this objective, GCHOS will focus on:
    3.2.1 the general development and propaganda of golfing and its value
    3.2.2 contractually arranged use of a quality golf facility and its area for its members
    3.2.3 the coordination of sporting activities with the activities of the Czech Golf Federation
    3.2.4 the promotion and support of youths
    3.2.5 financially securing the above mentioned activities from the available financial resources in the form of fees, gifts or other income
         
 

Section II
Membership at GCHOS

Article 4
Conditions for obtaining membership at GCHOS

  4.1 Individuals and legal entities can become members of GCHOS after fulfilling the following conditions:
    4.1.1 delivery of a personally signed application form to the headquarters of GCHOS or to a member of the Board of Trustees. With legal entities (companies), the application form must be signed by the statutory, with underage individuals by their legal guardian
    4.1.2 unconditional commitment to maintaining the statutes of GCHOS
    4.1.3 covering the club’s admission and annual fees
  4.2 The GCHOS Board of Trustees retain the right to refuse membership to any individual or legal entity, and that without an explanation of the refusal.
  4.3 The GCHOS Board of Trustees with notify the applicants in written form of the approval or non-approval of applications and that up to 14 days after the delivery of the application.
  4.4 After the approval of an application, the applicant is obligated to pay within 14 days the membership fee in the proper amount. Membership becomes legitimate only after the payment of the admission membership fee.
  4.5 Up to 30 days after being accepted as a member of GCHOS, every member will receive a GCHOS card.
  4.6 In the case that GCHOS is also a member of the Czech Golf Federation (hereinafter ČGF), after the payment of the annual membership fees the member has the right to a ČGF membership card. This is under the condition that the other conditions requested by ČGF are fulfilled.
  4.7 In the case of memberships for legal entities, it is necessary to inform GCHOS about the individuals whose names will the GCHOS and ČGF membership cards will be made out to.
   
Article 5
Types of GCHOS memberships
  5.1 Full memberships – individual or that of a legal entity.
  5.2 Junior memberships – a member up to 18 years of age receives membership for 50% of the actual admission fee to GCHOS for full members. The year after turning 18, this form of membership automatically changes to a full membership and the member is obligated to pay the remainder of the admission fee up to the actual amount of a full member. In the case that the member proves that they are a student, the age level for junior membership can be extended up to 26 years of age.
  5.3 Family memberships – in the case that one spouse is a full member; the other spouse can acquire membership for 50% of the actual admission fee for full members at GCHOS. In the case that the family membership is used by children (up to 18 years of age) of a parent that is a full member, then no admission fee is required of them. The year after turning 18, membership can be acquired for 50% of the actual admission fee to GCHOS for full members.
  5.4 Company memberships – are valid for companies (physical and legal entities) and are offered according to the number of acquired memberships. It contains a given number of memberships in a granted name, which corresponds to a given number of annual game cards for the guests of company members. Game cards for guests can be used only together with the card of the company member (the guest must be accompanied by the GCHOS member).
  5.5 Honorary memberships – can be awarded by the GCHOS Board of Trustees to individual that can be credited with the development of GCHOS or to VIPs. Honorary members have the same rights and responsibilities as a full member but do not pay any admission or annual fees.
  5.6 The Board of Trustees can specify any types or forms of membership and with them any pertaining rights and responsibilities.
  5.7 A club admission fee belongs to all forms of membership, annual or other fees, which are determined by the Board of Trustees. The Board of Trustees can benefit club members according to their efficiency, age or any other criteria. The Board of Trustees specifies the amount and specifications of the fees each calendar year.
  5.8 On the basis of a decision by the GCHOS Board of Trustees, an applicant may have a discounted admission fee for an individual form of membership. This can be achieved only in the case that the applicant performs significant, thankworthy activities for the development of GCHOS, significantly supports the activities of GCHOS or by other extraordinary deeds.
   
Article 6
Rights and responsibilities of GCHOS members
  6.1 The rights of GCHOS members:
    6.1.1 to use the golfing facilities according to the operating regulations of GCHOS
    6.1.2 to use the advantageous conditions and services given to club members
    6.1.3 to actively participate in the sporting and social life and activities hosted by GCHOS
    6.1.4 to pass on input to the GCHOS bodies about the activities of the club
    6.1.5 to be informed about club activities
  6.2 The responsibilities of GCHOS members:
    6.2.1 to observe the rules of gold and golf ethics
    6.2.2 to guide themselves by the operational guidelines of GCHOS and other internal regulations and instructions of GCHOS bodies
    6.2.3 to develop the good name of GCHOS through proper conduct and presentation
    6.2.4 to pay the club membership fee on time and in the proper amount. Members are expected to pay the annual fee in 30 days after the membership approval by the Board of Trustees and the announcement on the club’s notice board or Internet pages
    6.2.5 to inform GCHOS of any change in address, etc.
    6.2.6 to protect the property and golf facilities of GCHOS from damage, destruction or theft
  6.3 Member rights and responsibilities can be specified, limited or cancelled on the basis of the GCHOS statutes. The rights and responsibilities of members can also be completed and further defined by means of further GCHOS internal regulations and instructions approved by the appropriate bodies of GCHOS.
   
Article 7
Communication within GCHOS
  7.1 Information will be sent to GCHOS members to the address given in their GCHOS application form. In the case of general information, GCHOS has the opportunity to inform members on the club’s notice board at the golf facility, on its Internet pages or by electronic mail.
  7.2 Members can send information for GCHOS in written form to the address listed as the club headquarters.
  7.3 GCHOS will preserve the personal information of its members in accordance to the law 91/2000 Sb. concerning the protection of personal information.
   
Article 8
Discontinued and suspended membership at GCHOS
  8.1 In the case of legitimate situations a member can discontinue their membership. This actuality must be announced in written form to GCHOS, including the estimated period of discontinuation. During the discontinued period it is necessary to maintain the annual fee, the amount of the fee will be determined by the Board of Trustees and will form only a part of the set annual fee. During the discontinued period, the member cannot utilize the golf facilities without reimbursement and he/she are not provided with a membership card for the Czech Golf Federation. For membership discontinuation or renewal, a member must make a written request to the Board of Trustees no later than the end of the calendar year before the year in which he/she wishes to make the discontinuation/renewal of membership. The minimal amount of time a membership can be discontinued is one year.
  8.2 A member can have their membership at the GCHOS suspended if they do not fulfil in time their membership responsibilities, financial or other. By suspended membership is meant above all, the use of the GCHOS facilities. The suspension on membership can be announced to the proper authorities of the Czech Golf Federation. The suspension of membership will be announced to the member in written form. In the case that the member manages to atone for the wrong e.g. fulfills his/her membership responsibilities within 30 days from when the written announcement is sent, the suspension on the membership will be halted. In the opposite case, the member can have his/her membership cancelled according to article 9.1.2.
   
Article 9
Terminating membership at GCHOS
  9.1 Termination of GCHOS membership
    9.1.1/td> Secession from GCHOS – can be executed by a member of GCHOS by means of a written announcement delivered to the GCHOS Board of Trustees. The validity of the membership terminates immediately. An explanation for the reason of secession is not necessary
    9.1.2 Member expulsion by GCHOS:
      9.1.2.1 A member that violates the statutes, rules and regulations of GCHOS; or does not uphold his/her obligations and responsibilities towards GCHOS; or with his/her behavior outwardly damages GCHOS – can be expelled on the decision of the GCHOS Board of Trustees.
      9.1.2.2 Expulsion is initiated by a written warning explaining the reason for expulsion from GCHOS and will be sent to the member.
      9.1.2.3 In the case that a member does not immediately eliminate the given reasons for expulsion or he/she repeatedly act as stated in article 9.1.2.1, it can be decided to expel the member.
      9.1.2.4 The decision for a member’s expulsion becomes valid the day after the 14 day period given for the sending of the decision by the GCHOS Board of Trustees.
    9.1.3 the death of a member in the case of an individual
    9.1.4 the dissolution of a company in the case of a legal entity, through bankruptcy or liquidation
  9.2 The termination of membership means deleting the member from the records of GCHOS and simultaneously in the records GCHOS has at the Czech Golf Federation.
  9.3 With the termination of membership the member does not gain the right for financial or other compensation. In the case of a member’s financial obligations to GCHOS, these remain binding even after the termination of membership.
 
Section III
Bodies and rules of association management

Article 10
Bodies of GCHOS

  10.1 Board of Trustees (hereinafter BT) – is the highest executive and managing body of GCHOS. Its functional period is indefinite. It has 3 to 7 members and at its head is the President of the GCHOS. The other members are the Vice-president and Secretary of GCHOS. The BT decides by simple majority.
  10.2 Members of the BT – and possibly other GCHOS bodies, can be remunerated financially or by other means.
   
Article 11
Methods of determining the bodies of GCHOS
  11.1 Board of Trustees – the first Board of Trustees is formed by members of the Preparatory Committee of the civic association according to law no. 83/1990 Sb. In the case of need, members of the BT can be filled by co-option or voted in by a group of the other members of GCHOS. Cooptation members propose, approve and suspend the remaining members of the Board of Trustees.
  11.2 If during the functional period of the GCHOS body a position is vacated voluntarily, then the position is dealt with by the co-option. Candidates for the available position are proposed by the appropriate body in which the position became available and the Board of Trustees approves the candidate.
   
Article 12
Other organizational bodies at GCHOS
  12.1 President – directs the activities of the GCHOS, is the head of the BT, and officially represents the GCHOS externally. The President is proposed, approved and dismissed by members of the BT.
  12.2 Vice-president – acts as deputy to the president of the GCHOS in all matters suitable to the president of the GCHOS and is a member of the BT. The Vice-president is proposed, approved and dismissed by the BT.
  12.3 Secretary – directs all the administration and records of GCHOS and is a member of the BT. He/she present to the Board of Trustees the annual accounting and audit reports. The secretary is proposed approved and dismissed by the members of the BT.
  12.4 Technical Sports Committee (hereinafter TSC) – is responsible for the organization and running of GCHOS sports competitions, management of sports-technical records including results and players’ compensation and the transfer of the appropriate data and information to the Czech Golf Federation. TSC is responsible for the proper condition, management and development of the golf area on which GCHOS operates its activities. At the head of the TSC is the Chairman of the TSK. Members of the TSC are proposed, approved and dismissed by the BT.
  12.5 GCHOS Office – for ensuring the activities of the club, GCHOS can use its own or external employees which make up the members of the GCHOS Office.
  12.6 The BT can, through the internal directives of GCHOS, determine and either through nomination or vote, occupy other functions, committees or other GCHOS organizational bodies.
  12.7 The members of organizational bodies have the right to voluntarily give up their function at any time. The function of a member of an organizational body is terminated the day that the announcement of termination is delivered to GCHOS.
   
Article 13
Determination of bodies and officials authorized to negotiate for GCHOS
  13.1 The president is fully authorized to act in the name of GCHOS.
  13.2 The president can authorize to act and sign on the behalf of GCHOS other members of the BT, members of other bodies or members of other organizational bodies of GCHOS in issues that relate to their sphere of activities. This authorization must be in written form.
   
Article 14
Rules of GCHOS management
  14.1 GCHOS operates as an independent legal entity according to its budget and responsibility to its obligations. GCHOS guarantees its obligations with its estate. GCHOS independently manages its taxes and other fee responsibilities; the business and accounting year is the calendar year.
  14.2 For obtaining financial resources the GCHOS uses to fulfill their duties above all the provisions listed in article 3.1 of this statute.
  14.3 The BT of GCHOS approves and concludes contractual agreements concerning the management of its activities in the golf facility with its lease giver and practitioner.
 

Section IV
Other and concluding provisions

Article 15
Club emblem

  15.1 GCHOS can use their graphic emblem for external communication. The BT of GCHOS approves the emblem’s appearance and method of use.
  15.2 It is in no way authorized to use the club’s emblem in any form, color or interpretation without previous approval.
  15.3 Each and every member of GCHOS is expected to wear or use the club’s emblem in such a way that they represent GCHOS with dignity.
   
Article 16
Validity of statutes
  16.1 These statutes were approved 1.6.2002 by the preparatory committee of the association and became valid the day of registration at the Ministry of Interior of the Czech Republic.
